Terms of Service
These terms govern your use of YardUnion — a professional networking and career platform for the HBCU community. Please read them carefully before using the platform.
01Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and EZ Business Automation Services ("YardUnion," "we," "our," or "us"), governing your access to and use of the YardUnion platform, including our website at yardunion.com, our mobile application, all authenticated dashboards, APIs, and associated services (collectively, the "Platform").
By registering for an account, accessing the Platform, or clicking "I agree" or any similar acknowledgment, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Platform on behalf of an organization — including an employer, university, or campus organization — you represent that you have the authority to bind that organization to these Terms, and "you" in these Terms refers to both you individually and that organization.
If you do not agree to these Terms, you may not access or use the Platform.
02Eligibility
To use the YardUnion Platform, you must meet the following eligibility requirements:
- You must be at least 13 years of age. Users under 18 may access student and educational features but may not enter into any financial transactions on the Platform.
- Employer account holders must be at least 18 years of age and must represent a legitimate business entity.
- University and organization administrators must be authorized representatives of their respective institutions or organizations.
- You must have the legal capacity to enter into a binding agreement under applicable law.
- You must not be prohibited from using the Platform under U.S. export control laws or sanctions regulations.
- Your account must not have been previously suspended or terminated by YardUnion for a violation of these Terms.
YardUnion is designed to serve the HBCU community — including prospective students, current students, alumni, mentors, employers targeting HBCU talent, HBCU institutions, and campus organizations. Use of the Platform for purposes inconsistent with this mission may result in account review or termination.
03Account Responsibilities
When you create an account on YardUnion, you agree to:
- Provide accurate, current, and complete information during registration and profile setup
- Maintain and promptly update your account information to keep it accurate
- Keep your login credentials — including your password — confidential and not share them with any third party
- Notify us immediately at security@yardunion.com if you suspect unauthorized access to your account
- Accept responsibility for all activity that occurs under your account, whether or not authorized by you
- Use only one account unless explicitly permitted by YardUnion in writing
YardUnion reserves the right to disable or terminate any account we determine to contain false, misleading, or fraudulent information, or that is being used in violation of these Terms.
04Acceptable Use
You agree to use the Platform only for lawful purposes and in a manner consistent with its intended function as a professional networking, career development, and campus community platform for the HBCU ecosystem. You agree to:
- Represent yourself, your institution, or your organization accurately
- Interact with other users in a respectful and professional manner
- Use employer tools only to recruit candidates legitimately and in compliance with applicable employment law
- Use mentorship tools only for genuine mentorship and professional guidance purposes
- Post event listings only for real, legitimate events
- Use opportunity listings only for real, available job or internship positions
05Prohibited Conduct
You may not use the Platform to engage in any of the following prohibited activities:
- Impersonating any person, institution, organization, or YardUnion employee
- Creating false profiles, misrepresenting credentials, or submitting fraudulent resumes or employer listings
- Harvesting, scraping, or systematically collecting user data from the Platform without written authorization from YardUnion
- Using the Platform to send unsolicited commercial messages, spam, or mass solicitations to other users
- Engaging in discrimination based on race, color, religion, sex, national origin, disability, age, or any other characteristic protected by applicable law
- Posting content that is defamatory, obscene, threatening, harassing, sexually explicit, or otherwise unlawful
- Attempting to access accounts, systems, or data that you are not authorized to access
- Uploading viruses, malware, or any code designed to disrupt, damage, or gain unauthorized access to systems
- Circumventing, disabling, or interfering with security features of the Platform
- Using automated bots, scripts, or other tools to access the Platform in a manner that imposes disproportionate load on our infrastructure
- Engaging in any activity that violates applicable federal, state, or local law
- Using the Platform to facilitate or promote pyramid schemes, multi-level marketing, or fraudulent investment opportunities
Violation of these prohibitions may result in immediate account suspension, permanent termination, and, where appropriate, referral to law enforcement.
06User-Generated Content
The Platform allows users to submit, post, upload, and share content including profile information, resume and portfolio content, campus posts, event listings, opportunity listings, and media files (collectively, "User Content").
Your Ownership
You retain ownership of User Content you create and submit to the Platform. YardUnion does not claim ownership of your original content.
License to YardUnion
By submitting User Content to the Platform, you grant YardUnion a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, store, display, distribute, and transmit your User Content solely for the purposes of operating, delivering, and improving the Platform. This license is limited to what is necessary to provide the services you have requested.
Your Representations
By submitting User Content, you represent and warrant that:
- You own or have the necessary rights and permissions to submit the content
- The content does not infringe the intellectual property, privacy, or other rights of any third party
- The content is accurate and does not contain misleading or fraudulent information
- The content does not violate any applicable law or these Terms
Content Removal
YardUnion reserves the right — but not the obligation — to review, remove, or restrict access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise harmful to the Platform or its users. Removal of content does not constitute a waiver of any other rights or remedies we may have.
07Intellectual Property
All intellectual property in and to the YardUnion Platform — including but not limited to the YardUnion name, logo, brand identity, software, source code, design, user interface elements, features, and platform architecture — is owned by EZ Business Automation Services and is protected by U.S. and international intellectual property law.
These Terms do not grant you any ownership interest in the Platform. Subject to your compliance with these Terms, YardUnion grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes.
You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works based on the Platform or any portion thereof without our prior written consent.
08Event Posting Responsibilities
Users and administrators who post events on the Platform agree that:
- All event listings represent real, planned events and contain accurate information including date, time, location, and description
- Events comply with all applicable local, state, and federal laws and regulations
- RSVP and check-in data collected through the Platform will be used only for legitimate event management purposes
- YardUnion is not responsible for the conduct, safety, or outcomes of events listed on the Platform
- YardUnion is not liable for cancellations, postponements, or changes to events posted by users
YardUnion reserves the right to remove event listings that violate these Terms or that we determine are misleading or harmful.
09Employer & Recruiting Responsibilities
Employer accounts on YardUnion are granted access to candidate discovery, opportunity posting, and recruiting tools. By using employer features, you agree to:
- Represent your organization accurately, including your company name, industry, size, and type of opportunities offered
- Post only real, currently available job, internship, or co-op positions
- Conduct all recruiting activities in compliance with applicable employment law, including federal and state equal employment opportunity laws
- Not use the Platform to discriminate against candidates on the basis of race, color, religion, sex, national origin, disability, age, or any characteristic protected by applicable law — the fact that YardUnion serves an HBCU audience does not exempt employers from EEO compliance
- Not use candidate data obtained through the Platform for any purpose other than legitimate talent evaluation and recruiting
- Not contact candidates for purposes unrelated to employment without their consent
YardUnion does not guarantee the accuracy of employer profiles, the legitimacy of any posted opportunity, or the outcome of any recruiting interaction facilitated through the Platform. We encourage all users to exercise due diligence when evaluating employers and opportunities.
10Mentorship Disclaimer
YardUnion provides tools to facilitate connections between mentors and mentees within the HBCU community. The Platform is a connection and communication infrastructure, not a certified mentorship program.
- YardUnion does not screen, certify, credential, or endorse any mentor on the Platform
- Mentors are community volunteers who agree to share their professional experience and are not employees or agents of YardUnion
- Any advice, guidance, or information shared through mentorship interactions is the personal opinion of the individual mentor and should not be construed as professional, legal, financial, medical, or career advice
- Users engage in mentorship relationships at their own discretion and risk
- YardUnion is not responsible for outcomes resulting from mentorship interactions
If you experience inappropriate conduct from a mentor or mentee, please report it to support@yardunion.com. We take conduct reports seriously and will investigate according to our policies.
11Opportunity & Career Tools Disclaimer
YardUnion provides job boards, internship listings, opportunity discovery, resume tools, and portfolio tools as features of the Platform. These features are provided for informational and organizational purposes only.
- YardUnion does not guarantee the accuracy, completeness, or availability of any job or internship listing
- YardUnion does not guarantee employment outcomes or application success as a result of using the Platform
- YardUnion does not review or verify employer postings for legal compliance before they are published
- Users are responsible for independently evaluating opportunities and employers before submitting applications or accepting offers
- YardUnion is not a party to any employment agreement or offer between a candidate and an employer
12University & Organization Administrators
University administrators and campus organization administrators who use YardUnion to manage institutional profiles, events, and announcements agree that:
- They are authorized representatives of their institution or organization
- All content posted under their institutional or organizational account is accurate and does not violate applicable law or institutional policy
- They will not use YardUnion to collect student data beyond what the Platform normally provides and will handle any student data in compliance with FERPA and other applicable regulations
- YardUnion is not affiliated with, sponsored by, or an official vendor of any HBCU or campus organization unless a formal written partnership agreement exists
13Networking Disclaimer
YardUnion facilitates professional and social networking between users. We do not control or take responsibility for the content of communications between users, the nature of relationships formed through the Platform, or outcomes of those relationships. You are solely responsible for your interactions with other users.
YardUnion encourages users to exercise personal judgment and caution when engaging with other users, especially when meeting in person as a result of connections made on the Platform.
14AI Features Disclaimer
YardUnion plans to introduce AI-powered tools in the future, including features such as resume feedback, interview preparation assistance, school comparison tools, and mentorship matching insights (collectively, "AI Features"). When AI Features are made available, the following terms will apply:
- AI Features are provided as informational tools only and do not constitute professional career, legal, financial, or academic advice
- AI-generated outputs may contain errors, biases, or incomplete information and should be independently verified
- YardUnion does not guarantee the accuracy, suitability, or completeness of any AI-generated recommendation or output
- Users are responsible for decisions made based on AI Feature outputs
- YardUnion will update the Privacy Policy to describe how user data is used in connection with AI Features prior to their launch
15Platform Availability
YardUnion strives to maintain reliable, high-availability service, but we do not guarantee uninterrupted access to the Platform. The Platform may be unavailable due to:
- Scheduled maintenance windows, which we will announce in advance when possible
- Unplanned infrastructure outages with our cloud and hosting providers (AWS, Vercel)
- Force majeure events outside our control
- Actions taken to protect the security or integrity of the Platform
YardUnion is not liable for any damages resulting from Platform downtime, delays, or interruptions.
16Account Suspension & Termination
YardUnion reserves the right to suspend or permanently terminate your account, at our sole discretion, with or without notice, for any of the following reasons:
- Violation of any provision of these Terms
- Conduct that we determine is harmful to other users, the Platform, or the broader YardUnion community
- Submission of fraudulent, false, or misleading information
- Inactive accounts with no activity for 24 consecutive months (with advance notice)
- Legal requirements or law enforcement requests
You may close your account at any time by contacting us at support@yardunion.com. Upon account closure, your access to the Platform will be revoked, and your data will be handled in accordance with our Privacy Policy.
Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimer of warranties, limitation of liability, and dispute resolution — will survive the termination of your account.
17Disclaimer of Warranties
THE YARDUNION PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YARDUNION AND EZ BUSINESS AUTOMATION SERVICES EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Platform will be error-free, uninterrupted, or free of viruses or other harmful components
- Warranties regarding the accuracy, completeness, or reliability of any content on the Platform, including user-generated content and employer listings
- Warranties regarding outcomes resulting from use of the Platform, including employment, mentorship, or networking results
18Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YARDUNION AND EZ BUSINESS AUTOMATION SERVICES — INCLUDING THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUCCESSORS — SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from your use of or inability to use the Platform
- Damages arising from unauthorized access to your account or data
- Damages arising from content posted by other users
- Damages resulting from any service interruption or Platform modification
IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO YARDUNION IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
19Indemnification
You agree to indemnify, defend, and hold harmless YardUnion, EZ Business Automation Services, and their respective officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses — including reasonable attorneys' fees — arising out of or related to:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any applicable law or third-party right
- User Content you submit to the Platform
- Your conduct in connection with any mentorship, recruiting, event, or networking activity facilitated by the Platform
20Governing Law
These Terms and any disputes arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law principles.
To the extent permitted by law, the exclusive jurisdiction and venue for any legal proceedings related to these Terms shall be the state and federal courts located in Texas. You consent to personal jurisdiction in those courts.
21Dispute Resolution
Before initiating formal legal proceedings, you agree to attempt to resolve any dispute with YardUnion informally by contacting us at info@yardunion.com. We will attempt to resolve disputes within 30 days of receiving written notice.
If informal resolution fails, disputes shall be resolved by binding individual arbitration administered in Texas under the rules of the American Arbitration Association (AAA), rather than in court, except that either party may bring claims in small claims court if they qualify.
Class Action Waiver. YOU AND YARDUNION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Nothing in this section limits either party's right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
22Future Payment Terms
YardUnion currently offers its core Platform features at no charge. We intend to introduce optional paid features and subscription plans in the future, including employer recruiting subscriptions, sponsored opportunity listings, premium student career tools, and institutional partnership plans.
When paid features are introduced:
- Pricing and plan terms will be disclosed clearly before any purchase is required
- Free-tier users will not be retroactively charged without advance notice and explicit consent
- Subscriptions will be billed through a third-party payment processor (such as Stripe) and subject to that processor's terms in addition to ours
- Refund policies will be specified at the time paid features are launched
These Terms will be updated to include complete payment, refund, and subscription terms prior to the introduction of any paid feature.
23Service Modifications
YardUnion reserves the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time, with or without notice. We may also modify these Terms at any time. Material changes to these Terms will be communicated via:
- An updated "Last updated" date at the top of this page
- A notice posted on the Platform or sent to your registered email address
Your continued use of the Platform following any such modification constitutes your acceptance of the revised Terms. If you do not agree to any revision, you must stop using the Platform and may request account deletion.
24Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy and any additional terms applicable to specific Platform features, constitute the entire agreement between you and YardUnion regarding your use of the Platform and supersede all prior agreements, understandings, or representations.
Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable from the remaining Terms, which shall remain in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. YardUnion may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.

Legal notices must be sent to the email addresses above to be considered valid under these Terms. Notices sent to other addresses will not be deemed effective. We will use the email address associated with your account to send you notices related to your use of the Platform.
